Terms Of Business

Effective Date: 1 October 2025 

These Terms of Business (“Terms”) govern all purchases, deliveries, and other interactions with Xantris Sp. z o.o. (“Xantris”) and define the contractual relationship with the customer (“Customer”). By using this website, creating an account, or placing an order, you agree to these Terms.

• All orders must be submitted in writing via email to sales@xantris.pl or via an approved quotation.
• Xantris will issue a quotation confirming product details, pricing, delivery date, and availability.
• A binding contract is formed only upon written confirmation by Xantris.
• Xantris reserves the right to verify company information and intended product use before accepting orders.
• Orders may be refused if compliance with applicable laws, safety standards, or internal due diligence is not met.

• Payment is due on receipt of goods, after delivery and inspection by the Customer. 
• Goods will not be unloaded until full payment is received and confirmed by Xantris. 
• Ownership (title) of all goods remains with Xantris until payment is received in full.  
• Alternative payment or credit terms must be agreed in writing before dispatch. 

•  All terms, prices, and delivery conditions are confirmed in writing via quotation and order confirmation before dispatch. 
• All purchases are governed by these Terms of Business, which form part of any account application. 
• Customers are responsible for: 

1. Compliance with all relevant import, tax, and product-use regulations.  
2. Safe handling and storage of pressurised gas cartridges and other regulated products.
3. Preventing misuse, resale for misuse, or supply to unauthorised individuals. 

• Customers must be 18 years or older. 
• Products must be used only for lawful culinary, hospitality, laboratory, or authorized industrial purposes. 
• Nitrous oxide (N₂O) and other controlled products must not be inhaled, misused, or supplied to minors. 

• Pressurised gas cartridges and related equipment must be handled by trained, responsible individuals.  
• Store products in a cool, dry, well-ventilated place, away from heat or ignition. 
• Customers must comply with all applicable Polish and EU laws, including: 

1. ○ Ustawa o przeciwdziałaniu narkomanii (Act on Counteracting Drug Addiction) 
2. ○ EU Pressure Equipment Directive (2014/68/EU) 
3. ○ Workplace health and safety guidance 

• Xantris may restrict or refuse orders if compliance is not met. 

• Delivery is made to the address provided by the Customer. 
• Risk transfers to the Customer upon delivery.  
• Any delivery issues, missing items, or damage must be reported within 48 hours, with photos or videos where applicable. 

• Consumers (B2C): 14-day right of withdrawal under EU law, provided items are unopened, unused, and in original packaging, after notifying Xantris within 14 days. 
• Businesses (B2B): Returns are accepted only for defective or incorrectly supplied goods. 

• Warranty applies as stated in the relevant product documentation. 
• It does not cover misuse, incompatible accessories, normal wear and tear, cosmetic marks, or alterations/tampering. Statutory consumer rights remain unaffected. 
• To make a claim: email sales@xantris.pl with the order number, issue description, and supporting photos/videos. 

• To the extent permitted by law, Xantris is not liable for misuse, inhalation of N₂O, health consequences from improper handling, indirect or consequential loss, or storage negligence. 
• Xantris’ total liability is limited to the repair, replacement, or refund of defective goods. 
• Consumer statutory rights remain unaffected. 

• Personal data is processed in accordance with EU GDPR (RODO in Poland).

• These Terms are governed by Polish law.
• Disputes are subject to the competent courts of Poland, unless mandatory consumer protection laws provide otherwise.
